Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 26, 2018, the board of directors (the “Board”) of Oaktree Real Estate Income Trust, Inc. (the “Company”) appointed Wade Hundley to the Board, effective immediately, to fill a vacancy on the Board. The Board also confirmed that Mr. Hundley qualifies as an “independent director” as defined in the Company’s Articles of Amendment and Restatement and appointed Mr. Hundley as a member of the Board’s Affiliate Transaction/Conflicts Committee and Compensation Committee. In connection with his service as an independent director, Mr. Hundley will be compensated in accordance with the Company’s standard compensation policies and practices for independent non-employee directors of the Board as described in the Company’s Registration Statement on Form S-11 (No. 333-223022).

Mr. Hundley currently serves as a Managing Partner of Moab Development, LLC and Moab Medical Development Partners, real estate development companies based in Tulsa, Oklahoma and co-founded by Mr. Hundley in 2014 and 2016, respectively. From 2009 to 2014, Mr. Hundley served as the Chief Executive Officer of ST Residential LLC, where he oversaw a distressed bank loan portfolio consisting of more than 100 loans. Prior to joining ST Residential LLC, Mr. Hundley served as a consultant to Goldman Sachs. From 2001 to 2007, Mr. Hundley served as Chief Operating Officer and then as President of Pinnacle Entertainment, Inc. (NYSE: PNK), where he was responsible for gaming operations and development activities. Prior to joining Pinnacle Entertainment, Inc., Mr. Hundley was executive vice president at Harvey’s Casino Resorts. From 1993 to 2000, Mr. Hundley worked at Colony Capital, Inc., where he led acquisitions in many real estate based industries and product types, including hospitality, retail, restaurant, office and residential. Mr. Hundley currently serves on the Board of Directors of Vaquero Golf Club in Westlake, Texas. Mr. Hundley holds a B.S. in Finance from Oklahoma State University and an M.B.A. from the University of Texas, Austin.
