Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 28, 2018, Inuvo, Inc. (the "Company") held an annual meeting of stockholders where two proposals were voted upon. The proposals are described in detail in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 30, 2018. Of the 28,797,198 shares of common stock outstanding and entitled to vote at the annual meeting, 13,863,348 shares (or 48.1%), constituting a quorum, were represented in person or by proxy at the annual meeting.  The final vote on the proposals was recorded as follows:

Proposal 1. Election of Class II Directors.
