Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective June 21, 2018, Truli Media Group, Inc. (the “Company”) filed an amendment to its Certificate of Incorporation (the “Amendment”) to change the name of the Company to Truli Technologies, Inc. (the “Name Change”). The Name Change was duly adopted by the Company’s Board of Directors and by a majority of the Company’s outstanding voting power.

The foregoing description is qualified in its entirety by the Amendment which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
