Explanatory Note

This Current Report on Form 8-K/A amends the original Current Report on Form 8-K we filed with the Securities and Exchange Commission on June 5, 2018, regarding the election of Mark Daily to replace Christopher Morgan as the director representing Gunnison County Electric Association, Inc. on our Board of Directors. We are amending the original Form 8-K for the sole purpose of identifying the committee on which Mr. Daily will serve, which was undetermined at the time of filing the original Form 8-K.

Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 30, 2018, we received from our member, Gunnison County Electric Association, Inc., as required by our bylaws, certification that such member has elected Mark Daily to replace Christopher Morgan as the director representing such member on our Board of Directors. Mr. Daily will serve on the External Affairs-Member Relations Committee.
