Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective June 4, 2018, New Ulm Telecom, Inc. changed its name to Nuvera Communications, Inc. ( the “Company”). The Company had announced the pending name change at its 2018 Annual Meeting of Shareholders held on May 24, 2018. The Company’s Restated Articles of Incorporation, as in effect with the Minnesota Secretary of State as of June 4, 2018, are attached as Exhibit 3.1 to this Current Report on Form 8-K. The Company also amended its Bylaws, effective as of June 4, 2018, to reflect the name change.
Concurrent with June 4, 2018 name change, the ticker symbol for the Company’s common stock on the OTCQB became NUVR.
