Appointment of Director

 

On June 4, 2018, Spartan Motors, Inc. (the “Company”) announced that its Board of Directors has increased the size of the current Board to eight members and appointed Paul A. Mascarenas to the Board, effective June 1, 2018. Mr. Mascarenas will serve as a member of the Human Resources and Compensation Committee. Mr. Mascarenas’ career spanned 32 years at Ford Motor Company where from 2011 to 2014 he served as Chief Technical Officer and Vice President of Research and Advanced Engineering, and from 2007 to 2011 he served as Vice President, Global Engineering. Mr. Mascarenas currently serves on the boards of the United States Steel Corporation and ON Semiconductor Corporation, and serves as a Special Venture Partner with Fontinalis Partners LLP.

 

Mr. Mascarenas will be a nominee for reelection at the Company’s annual meeting of shareholders to be held in 2021. There are no arrangements or understandings between Mr. Mascarenas and any other person pursuant to which he was selected as a director, nor are there any transactions in which Mr. Mascarenas has an interest requiring disclosures under Item 404(a) of Regulation S-K. Mr. Mascarenas will receive the standard compensation arrangements for the Company’s non-employee directors, including an annual retainer and share-based compensation.
