Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 25, 2018, Ms. Tracey Newell tendered her resignation from her position as Executive Vice President, Global Field Operations, of Proofpoint, Inc. to pursue other opportunities. Ms. Newell’s resignation will be effective as of June 1, 2018.
