Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Genesee & Wyoming Inc. (the "Company") filed a Current Report on Form 8-K on April 6, 2018 (the "Original Report") reporting the election of Bruce J. Carter and Cynthia L. Hostetler to the Company's Board of Directors (the "Board").

The Company is filing this amendment to the Original Report to disclose the assignment of Mr. Carter and Ms. Hostetler to certain committees of the Board as the Board had not determined committee assignments for Mr. Carter and Ms. Hostetler as of the filing of the Original Report.

On May 23, 2018, the Board appointed Mr. Carter to serve as a member of the Audit Committee and further appointed Ms. Hostetler to serve as a member of the Compensation Committee and the Governance Committee.
