On May 23, 2018, Green Bancorp, Inc. (the “Company”) held its Annual Meeting of Shareholders to consider and act upon the items listed below:

William D. Ellis, Scott Schaen and Stefanie L. Shelley were elected as Class I directors to serve on the Board of Directors of the Company until the Company’s 2021 annual meeting of shareholders, each until their successors are duly elected and qualified or until their earlier resignation or removal.
