Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 14, 2018, Kenneth R. Lehman resigned from the boards of directors of Village Bank and Trust Financial Corp. (the “Company”) and its wholly owned subsidiary, Village Bank, effective on that date. He will not stand for election or re-election at the Company’s annual meeting of shareholders to be held on May 22, 2018. His resignation is not the result of any disagreement on matters relating to the Company’s operations, policies or practices.

 

Mr. Lehman offered his continuing support in helping the Company achieve its performance goals, and management intends to regularly seek guidance and perspective from Mr. Lehman given his significant ownership in the Company and extensive industry experience.
