8.01                        Other Events.

 

On April 30, 2018, Gener8 Maritime Inc. (“Gener8”) established a record date of May 3, 2018 for a special meeting of shareholders of Gener8, and on May 10, 2018, Gener8 established a date of June 11, 2018 for such special meeting. At the special meeting, Gener8’s shareholders will be asked to, among other things, consider and vote on a proposal to approve the Agreement and Plan of Merger, dated as of December 20, 2017, among Gener8, Euronav NV (“Euronav”) and Euronav MI Inc. (“Merger Sub”), a wholly-owned subsidiary of Euronav, and the transactions contemplated by the Merger Agreement, including the merger of Merger Sub with and into Gener8, with Gener8 continuing its existence as the surviving corporation (the “Merger”). Gener8’s shareholders of record at the close of business on the record date will be entitled to receive notice of and to vote at the special meeting.

 

Attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference into this Item 8.01 is a copy of the press release issued May 10, 2018 announcing the establishment of the May 3, 2018 record date and the June 11, 2018 meeting date for the special meeting.
