Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 9, 2018, Moody’s Corporation (“the Company”) announced that Michael S. Crimmins, Senior Vice President – Corporate Controller, has informed the Company that he intends to resign from the Company on or about June 15, 2018 to pursue other opportunities. Mr. Crimmins is the Company’s principal accounting officer and since April 2, 2018, has served on an interim basis as the Company’s principal financial officer.

On an interim basis, the Company has appointed Jeffrey Hare, Senior Vice President – Corporate Planning & Risk, to serve as the Company’s principal financial officer and David Hogan, Managing Director – Assistant Controller, to serve as the Company’s principal accounting officer. These appointments will be effective on June 16, 2018.

The Company has begun the search process to identify a successor for Mr. Crimmins.
