On May 3, 2018, NetScout Systems, Inc. (the “Company”) issued a press release regarding its financial results for the fourth fiscal quarter and the fiscal year 2018 each ended March 31, 2018, its expectations of future performance and its intention to hold a conference call regarding these topics. The Company's press release is furnished as Exhibit 99.1 to this report.

Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective May 1, 2018, the Board of Directors (the “Board”) of the Company, following the recommendation of the Nominating and Corporate Governance Committee of the Board, appointed (1) Susan Spradley to the Audit Committee and (2) Alfred Grasso to the Nominating and Corporate Governance Committee of the Board.  As a result of the appointment of the new directors, Joseph G. Hadzima, Jr. will continue to serve as Chair of the Compensation Committee but will no longer serve on the Audit Committee.
