Item 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On April 25, 2018, the Board of Directors (the “Board”) of United Therapeutics Corporation adopted the Company’s Sixth Amended and Restated By-laws (the “By-laws”). The By-laws include an amendment to Section 3.2 to permit removal of directors by the vote of a majority (rather than 80%) of stockholders at a meeting of stockholders. The By-laws became effective upon approval by the Board. The foregoing summary is qualified in its entirety by the language of Section 3.2 of the By-laws, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
