Item 5.07 Submission of Matters to a Vote of Security Holders

On April 25, 2018, NorthWestern Corporation d/b/a NorthWestern Energy (NYSE: NWE) (the “Company”), held its Annual Meeting of Stockholders (the “Annual Meeting”) in Butte, Montana. At the Annual Meeting, 46,565,487 shares of common stock, par value $.01, were present in person or by proxies. This represented over 94 percent of the 49,406,778 shares of common stock outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, the stockholders:

Elected all eight of the directors nominated by the Board of Directors;
Ratified the appointment of Deloitte & Touche LLP as the Company's independent registered public accounting firm; and
Approved, on an advisory basis, the compensation of the Company's named executive officers, as described in the Company's Proxy Statement.
Set forth below are the final voting results on each such matter.
1. Election of Directors. The Board of Directors of the Company nominated eight persons for election as directors of the Company, each to hold office for a one-year term expiring at the 2019 annual meeting of stockholders and until his or her successor is duly elected and qualified.
