Item 8.01 Other Events

On April 30, 2018, Andeavor (the “Company”) and Marathon Petroleum Corporation (“MPC”) issued a joint press release announcing the execution of the Agreement and Plan of Merger, dated as of April 29, 2018, by and among the Company, MPC, Mahi Inc. (“Merger Sub 1”) and Mahi LLC (“Merger Sub 2”) and the Voting and Support Agreement, dated as of April 29, 2018, by and among the Company, MPC, Merger Sub 1, Merger Sub 2, Paul L. Foster and Franklin Mountain Investments, LP. In addition, MPC released an investor presentation regarding the merger.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. A copy of the investor presentation is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated by reference.
