Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On April 23, 2018, Paul Hughson notified the board of directors of Resource Apartment REIT III, Inc. (the “Company”) of his resignation from the board of directors of the Company, effective immediately.  Mr. Hughson’s decision was based on his determination that he will be unable to continue to devote the necessary time and attention to board matters and was not due to any disagreement with the Company, its advisor or any of their affiliates. On April 23, 2018, the Company appointed George E. Carleton as a member of the board of directors to replace Paul Hughson.

Mr. Carleton has been the Company’s Chief Operating Officer and President since June 2017. Mr. Carleton has served as a director of Resource Real Estate Opportunity REIT II, Inc. since September 2016. He has also served as Chief Operating Officer and President of Resource Real Estate Opportunity REIT, Inc., Resource Real Estate Opportunity REIT II, Inc. and Resource Income Opportunity REIT, Inc. and President of Resource REIT Advisor, LLC since June 2017 as well as an Executive Vice President of Resource America, Inc. since September 2016. Mr. Carleton is an Executive Managing Director of Island Capital Group LLC (“Island”), which he joined when the company was formed in 2003. Island is a commercial real estate merchant banking firm headquartered in New York, New York. Since its formation in 2010, Mr. Carleton has also served as an Executive Managing Director of C-III Capital Partners LLC (“C-III”), which is externally managed by Island. C-III is a commercial real estate investment and services company engaged in a broad range of activities, including principal investments (debt and equity), primary and special loan servicing, loan origination, fund management, multifamily property management, investment sales and zoning and title services. Prior to joining Island, Mr. Carleton was a Senior Managing Director of Insignia Financial Group, Inc. (NYSE: IFS), which was a publicly traded commercial real estate services company that merged with CB Richard Ellis in 2003. Before joining Insignia in 1993, he held various positions at Travelers Insurance Real Estate Department, which he joined in 1981. Mr. Carleton received a B.S. degree from Florida Atlantic University in 1981 and an M.S. degree from American University in 1988.
