Item 1.01 Entry into a Material Definitive Agreement.
On April 17, Pure Acquisition Corp. (the Company) closed its initial public offering (IPO) of 41,400,000 units (the Units), including the issuance of 5,400,000 Units as a result of the underwriters full exercise of their over-allotment option. Each Unit consists of one share of Class A common stock of the Company, par value $0.0001 per share (the Class A Common Stock), and one-half of one warrant of the Company (Warrant), each whole Warrant entitling the holder thereof to purchase one whole share of Class A Common Stock for $11.50 per share. The Units were sold at a price of $10.00 per unit, generating gross proceeds to the Company of $414,000,000.
Simultaneously with the closing of the IPO, the Company completed the private sale of 10,280,000 warrants (the Private Placement Warrants) at a purchase price of $1.00 per Private Placement Warrant, to the Companys sponsor, HighPeak Pure Acquisition, LLC (the Sponsor), generating gross proceeds to the Company of $10,280,000. Each Private Placement Warrant is exercisable to purchase one share of the Companys Class A Common Stock at a price of $11.50 per share.
In connection with the IPO, the Company entered into the following agreements, forms of which were previously filed as exhibits to the Company registration statement (File No. 333-223845). The material terms of such agreements are fully described in the Companys final prospectus, dated April 12, 2018 as filed with the SEC on April 16, 2018. This Current Report on Form 8-K is being filed for the purposes of filing executed copies of the agreements:

Item 5.03. Amendments to Certificate of Incorporation or Bylaws; Change in Fiscal Year.
On April 10, 2018, the Company filed its Second Amended and Restated Certificate of Incorporation (the Certificate of Incorporation), a form of which was previously filed as an exhibit to the Company registration statement (File No. 333-223845). The material terms of such Certificate of Incorporation are fully described in the Companys final prospectus, dated April 12, 2018 as filed with the SEC on April 16, 2018. On April 12, 2018, the Company filed an amendment to the Certificate of Incorporation to increase the authorized shares of Class B common stock from 10,350,000 to 15,000,000.

On April 12, 2018, the Company issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing the pricing of the IPO. On April 18, 2018, the Company issued a press release, a copy of which is attached as Exhibit 99.2 to this Current Report on Form 8-K, announcing the closing of the IPO and the full exercise of the underwriters over-allotment option.
