On April 16, 2018, Kevin Mohan was appointed by Muscle Maker, Inc. (the “Company”) to serve as the Interim President of the Company. In addition, on April 11, 2018, Robert E. Morgan resigned as Chief Executive Officer, President and Director of the Company and all other positions with subsidiaries of the Company. Mr. Morgan did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices.

There is no understanding or arrangement between Mr. Mohan and any other person pursuant to which he was appointed as an executive officer. Mr. Mohan does not have any family relationship with any director, executive officer or person nominated or chosen by us to become an executive officer. Mr. Mohan has not had direct or indirect material interest in any transaction or proposed transaction, in which the Company was or is a proposed participant, exceeding $120,000.

Since June 2012, Mr. Mohan has served as the VP of Capital Markets for American Restaurant Holdings, Inc., a company focused on acquiring and expanding fast casual restaurant brands.
