Item 1.01 Entry into a Material Definitive Agreement.

 

On March 26, 2018, the Company and Hamid Emarlou, the Company’s former principal shareholder entered into a Spin Off Agreement for the sale of the existing wholly owned Vapir, Inc. subsidiary of the Company, in exchange for Mr. Emarlou’s shares of Common Stock of the Company. The transactions contemplated by the Spin Off Agreement were consummated on April 12, 2018. At the time of consummation, in exchange for the sale to him of Vapir, Inc., Mr. Emarlou returned the 36,309,768 shares of Company common stock owned by him, which were retired by the Company.
