Item 4.01 – Change in Registrant’s Certifying Accountant

 

On April 13, 2018, Citadel Exploration, Inc. (“Company”) dismissed its auditor, Anton & Chia, LLP (“A&C”). None of A&C’s reports on the Company over the past two fiscal years ending December 31, 2015 and December 31, 2016 contained an adverse opinion or a disclaimer of opinion, or was qualified or modified as to uncertainty, audit scope, or accounting principles, except for an “emphasis of matter” paragraph regarding a going concern uncertainty.  The decision to dismiss A&C was approved by the Company’s Board of Directors. There were no disagreements with the A&C on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure.

 

The Company has hired Malone Baily, LLP as its new auditor. Their main office is located at 9801 Westheimer Rd, Suite 1100 Houston, TX 77042. www.malonebaily.com

 

The Company has provided a copy of the foregoing disclosures to Anton & Chia, LLP and requested that Anton & Chia, LLP furnish it with a letter addressed to the Securities and Exchange Commission stating whether Anton & Chia, LLP agrees with the above statements. A copy of Anton & Chia, LLP letter, dated April 13, 2018, is filed as Exhibit 16.1 to this Form 8-K.
