Item 5.07. | Submission of Matters to a Vote of Security Holders. |
On March 29, 2018, Pinnacle Entertainment, Inc., a Delaware corporation (the Company), held its special meeting of stockholders (the Special Meeting).
At the Special Meeting, the stockholders of the Company (i) approved the adoption of the Agreement and Plan of Merger dated as of December 17, 2017 (the Merger Agreement) by and among the Company, Penn National Gaming, Inc. (Penn) and Franchise Merger Sub, Inc. (Merger Sub), pursuant to which Merger Sub will merge with and into the Company (the Merger), with the Company surviving as a wholly-owned subsidiary of Penn; (ii) approved, on an advisory (non-binding) basis, certain compensation that may be paid or become payable to the Companys named executive officers in connection with the Merger; and (iii) approved the adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies if there are not sufficient votes to adopt the Merger Agreement.
The following are the final voting results as to the three proposals submitted at the Special Meeting:

With respect to Proposal Three, although there were sufficient votes to approve Proposal Three, no motion to adjourn was made because the adjournment of the Special Meeting was determined not to be necessary or appropriate.
