Item 8.01 Other Events.

On March 22, 2018, Akebia Therapeutics, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Morgan Stanley & Co. LLC, as underwriter (the “Underwriter”), related to a public offering (the “Offering”) of 8,500,000 shares (the “Shares”) of the Company’s common stock, $0.00001 par value per share (the “Common Stock”), at a price to the public of $10.50 per share, pursuant to an automatically effective shelf registration statement (File No. 333-223585) and a related prospectus supplement. In addition, the Company granted the Underwriter an option to purchase, at the public offering price less any underwriting discounts and commissions, an additional 1,275,000 shares of Common Stock, exercisable for 30 days from the date of the prospectus supplement. Subject to customary closing conditions, the Offering is expected to close on March 27, 2018.

An opinion dated March 26, 2018 regarding the legality of the issuance and sale of the Shares in the Offering, including the additional shares the underwriters have the option to purchase pursuant to the Underwriting Agreement, is filed as Exhibit 5.1 to this Current Report on Form 8-K.
