Item 3.01.Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.



On March 22, 2018, ParkerVision, Inc. (the “Company”) received a notice from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) stating that, for the last 30 consecutive business days, the closing bid price for the Company’s common stock had been below the minimum of $1.00 per share required for continued inclusion on the Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2). The notification letter stated that the Company would be afforded 180 calendar days (until September 18, 2018) to regain compliance with the minimum bid price requirement.  In order to regain compliance, the bid price for shares of the Company’s common stock must close at $1.00 per share or more for a minimum of ten consecutive business days.  The notification letter also states that in the event the Company does not regain compliance within the 180 day period, the Company may be eligible for additional time to regain compliance.  



The Nasdaq notification has no effect at this time on the listing of the Company’s common stock, and the stock will continue to trade uninterrupted under the symbol “PRKR”. The Company intends to actively monitor the bid price for its common stock between now and September 18, 2018, and will consider all available options to regain compliance with the Nasdaq minimum bid price requirement.



As previously disclosed in the Company’s Current Report on Form 8-K filed on February 16, 2018, the Company has received a delisting notice from Nasdaq as a result of its continued non-compliance with Nasdaq Listing Rule 5500(b)(2), which requires an issuer to maintain a minimum market value of listed securities (“MVLS”) of $35 million.  Any delisting action has been stayed pending a decision from the Nasdaq Hearings Panel regarding the Company’s plan to regain compliance with the MVLS or other Nasdaq listing requirements and request for an extension of time within which to regain compliance
