Item 8.01 Other Events.

On March 20, 2018, Virginia Electric and Power Company (the Company) entered into an underwriting agreement (the Underwriting Agreement) with BNP Paribas Securities Corp., Credit Suisse Securities (USA) LLC and U.S. Bancorp Investments, Inc., as Representatives for the underwriters named in the Underwriting Agreement, for the sale of $700,000,000 aggregate principal amount of the Company’s 2018 Series A 3.80% Senior Notes due 2028 (the Senior Notes). The Senior Notes are Senior Debt Securities that were registered by the Company under Rule 415 under the Securities Act of 1933, as amended, pursuant to a registration statement on Form S-3, which became effective on June 30, 2017 (File No. 333-219085) and was amended by a post-effective amendment filed with the Securities and Exchange Commission, which became effective on September 11, 2017. A copy of the Underwriting Agreement, including exhibits thereto, is filed as Exhibit 1.1 to this Form 8-K.

The Senior Notes will be issued under the Second Supplemental Indenture, dated as of March 1, 2018 (the Second Supplemental Indenture), to the Company’s September 1, 2017 Senior Indenture (the Senior Indenture). The Second Supplemental Indenture is filed as Exhibit 4.2 to this Form 8-K.
