Material Modification to Rights of Security Holders

Effective March 19, 2018, the Board of Directors of MSB Financial Corp. (the "Registrant") amended the bylaws of the Registrant to delete a provision that had provided for a maximum age limitation for members of the Registrant's Board of Directors.  The Registrant's Board of Directors also approved a similar amendment to the bylaws of Millington Bank, its wholly-owned subsidiary.

A copy of the amended and restated bylaws is filed as Exhibit 3.1 hereto and is incorporated herein by reference.
