Item 8.01 Other Events
On March 22, 2018, Cartesian, Inc. (the "Company") issued a press release announcing that its Strategic Review Committee and Board of Directors had unanimously approved the Company entering into an Agreement and Plan of Merger to be acquired by an affiliate of Blackstreet Capital Holdings. A copy of the press release is filed as Exhibit 99.1 hereto and incorporated by reference.
 
Important Additional Information and Where to Find It
 
The tender offer referred to in the press release has not yet commenced. The press release is for informational purposes only and is not a recommendation, an offer to purchase or a solicitation of an offer to sell, securities, or a solicitation of any proxy, vote or approval with respect to the proposed transaction or otherwise, nor is it a substitute for the tender offer materials that will be filed with the U.S. Securities and Exchange Commission ("SEC"). In connection with the merger, Cartesian, Inc. may be required to file a proxy statement with the SEC.
