Item 8.01
Other Events.
 
As previously reported on Form 8-K filed on July 20, 2017, the Company had been notified by the Staff of the Division of Enforcement of the Securities and Exchange Commission that it is undertaking a review of certain issues relating to the Company.
 
On March 13, 2018, the Company received a notice letter dated March 8, 2018, from the Fort Worth Regional Office of the Commission stating:
 
“We have concluded the investigation as to COPsync, Inc.  Based on the information we have as of this date, we do not intend to recommend an enforcement action by the Commission against COPsync, Inc.”
 
The letter further states that the notice is provided under the guidelines set out in the final paragraph of Securities Act Release No. 5310, which states in part that the notice “must in no way be construed as indicating that the party has been exonerated or that no action may ultimately result from the staff’s investigation.”
