Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2018, VICI Properties Inc. (the “Company”) received notice from Kenneth J. Kuick, Senior Vice President and Chief Accounting Officer, of his decision to resign from his position in connection with the anticipated relocation of the Company’s accounting and other functions, including his position, from Las Vegas, NV to New York, NY. The effective date of Mr. Kuick’s resignation has not been determined and it is expected that Mr. Kuick will remain in his current positions during a transition period.

Mr. Kuick’s decision is not related to any issues regarding financial disclosures or accounting matters.
