Effective March 12, 2018, Ms. Angela A. Minas was appointed to the Board of Directors (the “Board”) of Weatherford International plc (the “Company”). Ms. Minas will serve as a member of the Board’s Audit Committee and Health, Safety and Environment Committee.
In connection with her appointment to the Board, Ms. Minas will receive the Company’s standard compensatory arrangements for non-employee directors. A description of the compensatory arrangements for non-employee directors is included in the Company’s 2017 Proxy Statement filed with the U.S. Securities and Exchange Commission (“SEC”) on April 25, 2017. Ms. Minas will also enter into the standard director indemnification agreement with the Company and one of its primary subsidiaries, the forms of which have been previously filed with the SEC.
There are no arrangements or understandings between Ms. Minas and any other person pursuant to which she was selected as a director. Ms. Minas does not have any family relationship with any director or executive officer of the Company or any person nominated or chosen by the Company to become a director or executive officer. There are no transactions in which Ms. Minas has an interest requiring disclosure under Item 404(a) of Regulation S-K.
