Item 1.01 Entry into a Material Definitive Agreement.

On March 5, 2018, TransUnion (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) by and among the Company, the selling stockholders named therein (the “Selling Stockholders”), and J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC (the “Underwriters”), relating to an underwritten offering of 19,889,564 shares (the “Shares”) of the Company’s common stock, par value $0.01 per share (“Common Stock”), pursuant to the Company’s Registration Statement on Form S-3 (File No. 333-213542), filed on September 8, 2016, as supplemented by the prospectus supplement dated March 5, 2018. All of the Shares are being sold by the Selling Stockholders. Pursuant to the Underwriting Agreement, the Underwriters agreed to purchase the Shares at a price of $57.60.

The description of the Underwriting Agreement is qualified in its entirety by the terms of such agreement, which is incorporated herein by reference and attached to this report as Exhibit 1.1.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) In connection with the sale of the Shares by investment funds affiliated with The Goldman Sachs Group, Inc. (collectively, the “GS Investors”), the number of shares of Common Stock owned by the GS Investors fell below both of the ownership thresholds specified in the Amended and Restated Major Stockholders’ Agreement, dated as of June 23, 2015 (the “Shareholders’ Agreement”), among the Company, Advent and the GS Investors. As a result, Sumit Rajpal will, pursuant to the Stockholders’ Agreement, tender his resignation from the Company’s board of directors, which will be effective as of March 8, 2018. Mr. Rajpal’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
