Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On February 23, 2018, HighPoint Resources Corporation, f/k/a Red Rider Holdco, Inc. (the “Company”) filed with the Secretary of State of the State of Delaware a Certificate of Amendment to its Certificate of Incorporation to change its name from “Red Rider Holdco, Inc.” to “HighPoint Resources Corporation,” effective on February 23, 2018. The Certificate of Amendment to the Certificate of Incorporation of the Company is attached to this Current Report on Form 8-K as Exhibits 3.1 and is incorporated herein by reference.
