Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 26, 2018, the Compensation Committee (the “Committee”) of the Board of Directors of Pure Bioscience, Inc. (the “Company”) approved an amendment (the “Amendment”) to a stock option to purchase 150,000 shares of the Company’s common stock held by Mark Elliott, the Company’s Vice President, Finance and Principal Financial Officer, to extend the expiration date of the Stock Option from two years (May 2018) to five years from the date of grant (May 2021). The Committee determined that it was in the best interests of the Company and its stockholders to approve the Amendment in order to provide incentive for Mr. Elliott to continue to provide services to the Company.
