Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On February 14, 2018, Par Pacific Holdings, Inc. (the “Company”), acting pursuant to authorization from its Board of Directors, determined to voluntarily withdraw the listing of the Company’s common stock, par value $.01 per share (the “Common Stock”) from the NYSE American (formerly the NYSE MKT) and transfer the listing of the Common Stock to the New York Stock Exchange (the “NYSE”). The Company expects that listing and trading of the Common Stock on the NYSE American will end at market close on February 16, 2018, and that listing and trading on the NYSE will begin at market open on February 20, 2018 under its current symbol “PARR.” Until it begins trading on the NYSE, the Company’s Common Stock will remain trading on the NYSE American under the symbol “PARR.”

The Company issued the news release attached hereto as Exhibit 99.1 in connection with the transfer of the listing of the Common Stock to the NYSE.
