Item 8.01 Other Events.

On February 14, 2018, Autoliv, Inc. (the “Company”) announced that its Board of Directors (the “Board”) declared a quarterly dividend of 62 cents per share for the second quarter of 2018, an increase of two cents per share from the previous level. The dividend will be payable on June 7, 2018 to Company stockholders of record on the close of business on May 23, 2018. In addition, the Company announced that the Board nominated Robert Alspaugh, Jan Carlson, Leif Johansson, David Kepler, Franz-Josef Kortüm, Xiaozhi Liu, James Ringler, Kazuhiko Sakamoto and Wolfgang Ziebart for re-election to the Board at the Company’s 2018 Annual Meeting of Stockholders. Each nominee is currently serving on the Board with a term expiring at the 2018 Annual Meeting of Stockholders.

A copy of the press release announcing the declaration of the dividend and nomination of directors for re-election at the Company’s 2018 Annual Meeting of Stockholders is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
