Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective February 7, 2018, Wolverine World Wide, Inc. (the Company) adopted the Wolverine World Wide, Inc. Deferred Compensation Plan (the Plan). The Plan amends and restates the former Wolverine World Wide, Inc. Executive Deferred Compensation Plan. The Plan was amended to add eligibility for the Companys non-management directors to participate in the Plan. The Plan is an unfunded, non-qualified deferred compensation plan intended to provide the Companys directors and senior management employees the opportunity to save for retirement on a tax-deferred basis by deferring a portion of their compensation. All compensation deferrals elected by the participants are 100% vested. Plan distributions are either paid out in lump sum or installments after termination of employment. Certain early distributions are permitted under the Plan.
