Item 8.01 Other Events.

The date of the special meeting of stockholders of CVS Health Corporation (“CVS Health”) to seek the approval by CVS Health’s stockholders of the issuance of shares contemplated under the Agreement and Plan of Merger pursuant to which CVS Health has agreed to acquire Aetna Inc. has been changed to March 13, 2018.

(“Aetna”), on February 9, 2018, CVS Health filed with the Securities and Exchange Commission (the “SEC”) an amendment to the registration statement on Form S-4 that was originally filed on January 4, 2018.
