Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e)    Effective as of February 1, 2018, the Company and Joel N. Waller, the Company’s interim President and Chief Executive Officer, entered into Amendment No. 1 (“Amendment No. 1”) to his amended and restated employment agreement (the “Amended Agreement”).

As provided in Amendment No. 1, the second sentence of Section 1.3 of the Amended Agreement has been amended to provide for Mr. Waller’s continued service as a member of the Board of Directors of the Company through the period of time he is serving as a consultant to the Company.

The foregoing summary of the Amended Agreement is qualified in its entirety by reference to Amendment No. 1, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
