Item 8.01. Other Events
On February 1, 2018, Hostess Brands, Inc. issued a press release announcing the acquisition of certain U.S. breakfast assets of ARYZTA LLC. The transaction is an asset purchase for approximately $25 million utilizing cash on hand. The assets acquired include approximately $10 million of inventory and the property, plant, equipment and customer relationships serviced by the Chicago Cloverhill bakery facility. A copy of the press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
