Item 8.01.

Other Events.

On January 30, 2018, Cars.com Inc. (the “Company”) issued a press release announcing an agreement with tronc, Inc. (“tronc”), a media company, to convert tronc’s eight affiliate markets into the Cars.com direct sales channel effective February 1, 2018. Prior to these transitions, tronc had the exclusive right to sell and price Cars.com’s products and services in its local territories, paying the Company a wholesale rate for each Cars.com product sold.  The agreement also includes a multi-year advertising and marketing agreement between Cars.com and tronc.
