Section 5 — Corporate Governance and Management
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 24, 2018, the Board of Directors of Xplore Technologies Corp. (the “Company”) appointed Tom Wilkinson as the Company’s Chief Executive Officer. Mr. Wilkinson has served as Chief Financial Officer of the Company since November 2015, and as acting Chief Executive Officer since October 2017.

Item 7.01 Regulation FD Disclosure
On January 25, 2018, the Company issued a press release announcing the appointment of Tom Wilkinson as the Company’s Chief Executive Officer. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein. In accordance with General Instruction B.2 of Form 8-K, Exhibit 99.2 hereto shall not be deemed to be “filed” for purposes of Section 18 of the Exchange Act, or otherwise subject to the liabilities of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
