Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Approval of Salary Increase and Merit Bonus Award

On January 20, 2018, the Compensation Committee (the “Committee”) of Versartis, Inc. (the “Company”) approved a salary increase for Kevin Haas, the Company’s principal accounting officer, raising his base salary from $250,800 per year to $270,800 per year. The Committee also approved a 2017 merit bonus award related to 2017 performance for Jay P. Shepard, the Company’s Chief Executive Officer, in the amount of $94,500.
