Item 8.01 Other Events

On January 23, 2018, Sears Holdings Corporation (the “Company”) issued a press release pursuant to Rule 135(c) of the Securities Act announcing its intention to commence private exchange offers for outstanding 8% Senior Unsecured Notes Due 2019 and 6 5/8% Senior Secured Notes Due 2018 and to pursue a negotiated exchange of, or amendments to, certain other indebtedness. The press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
