Item 8.01Other Events.

 

On January 22, 2018, LiveXLive Media, Inc. (“the Company”) announced that the underwriters of its previously announced underwritten public offering have exercised their over-allotment option to purchase an additional 460,200 shares of common stock from the Company at the public offering price of $4.00 per share, less the underwriting discount.  The sale of the additional shares closed on January 23, 2018.

 

The Company’s press release announcing the exercise of the over-allotment option is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein. The Company’s filing under this Item 8.01 is not an admission as to the materiality of any information reported under this Item 8.01 that is required to be disclosed solely by Regulation FD.
