Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Executive Officer Separation. On December 12, 2018, Mark J. Casey, an executive officer, informed the Company that he would be resigning from the Company effective January 31, 2018.  Prior to his resignation, Mr. Casey served as the Company’s Senior Vice President, General Counsel and Secretary.
