Item 5.02(c).

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 12, 2018, the Board of Directors of Sypris Solutions, Inc. (the “Company”) approved the reorganization and elimination of certain executive officer positions for the Company. Effective as of January 12, 2018, Paul G. Larochelle, will cease to serve as Vice President Sales and Strategic Initiatives for the Company, however, Mr. Larochelle will continue to serve in this position for the Company’s operating subsidiary, Sypris Technologies, Inc. The Company's Board also determined that effective January 12, 2018, Stephen W. Straub, will cease to serve as Vice President Operations for the Company, however, the Board of Sypris Technologies has similarly appointed Mr. Straub to serve as its Vice President Continuous Improvement and Innovation. The decision by the Board to reorganize these executive officer positions was not caused by any disagreement between either Mr. Larochelle or Mr. Straub and the Company.
