ITEM 8.01. OTHER EVENTS.

As previously announced, on June 30, 2017, OceanFirst Financial Corp. (the “Company”) and Sun Bancorp, Inc. (“Sun”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), pursuant to which Sun and the Company will merge through a two-step merger (the “Transaction”).

On January 12, 2018, the Company and Sun issued a joint press release announcing that the election deadline for record holders of shares of Sun’s common stock (as well as holders of Sun restricted stock awards and restricted stock unit awards) to elect the form of consideration they wish to receive in the Transaction, subject to the allocation and proration procedures set forth in the Merger Agreement, is 5:00 p.m. Eastern time on January 29, 2018, which is based on the current expectation that the Transaction will be completed on January 31, 2018, as previously disclosed. The completion of the Transaction remains subject to the satisfaction of customary closing conditions. A copy of the joint press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
