EXPLANATORY NOTE

This Amendment No. 1 on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by VICI Properties Inc. (the “Company”) on November 14, 2017 (the “Original Report”) for the purposes of disclosing the completion of the previously announced leadership succession plan with David Kieske now serving as Executive Vice President and Chief Financial Officer effective January 1, 2018. Except as described below, this Amendment does not purport to amend the information in the Original Report or provide an update or a discussion of any developments at the Company subsequent to the filing date of the Original Report.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 1, 2018, Mr. Kieske became Executive Vice President and Chief Financial Officer of the Company, following receipt of customary regulatory approvals.  Mary Beth Higgins will continue to consult with the Company through March 31, 2018.
