Item 8.01

Other Events.

On December 22, 2017, President Trump signed into law H.R.1, formerly known as the Tax Cuts and Jobs Act, which among other items will reduce the federal corporate tax rate to 21% effective January 1, 2018.  As a result of the new law, United Bancshares, Inc. (the Company) has concluded that this will cause the Companys deferred tax assets to be revalued.  The Companys deferred tax assets represent a decrease in corporate taxes expected to be paid in the future.  The Company performed an analysis to determine the impact of the revaluation of the deferred tax assets using its September 30, 2017 balance of $4.5 million, $0.8 million of which is alternative minimum tax credits which we expect to be fully recoverable under the new law and $3.7 million of which is subject to revaluation.  The Company estimates that the value of the deferred tax assets will be reduced by approximately $1.4 million as a result of this tax rate change, adjusted for any fourth quarter activity.  Under this methodology, the estimated impact on fourth quarter net earnings and tangible book value would be approximately ($0.43) per share, based on estimated average fourth quarter shares outstanding of 3,267,300.  Additionally, management does not expect any impact to Tier 1 Capital as a result of the revaluation.  The Companys revaluation of its deferred tax assets is subject to further clarifications of the new law that cannot be estimated at this time.  As such, the Company is currently unable to make a final determination of the impact on the quarterly and year to date earnings for the periods ending December 31, 2017. The Company does not anticipate future cash expenditures as a result of the revaluation of the deferred tax assets.  To the extent required, the Company may file one or more amendments to this Current Report on Form 8-K.
