Item 8.01 Other Events.

On December 29, 2017, Atlas Holdings, Inc. (“Holdco”), a Delaware corporation and a wholly-owned subsidiary of Impax Laboratories, Inc. (the “Company”), filed Amendment No. 1 to its registration statement on Form S-4 (as amended, the “Registration Statement”) with the U.S. Securities and Exchange Commission (“SEC”) covering Holdco’s proposed issuance of shares of Class A common stock of Holdco to stockholders of the Company in connection with the proposed combination of the Company and Amneal Pharmaceuticals LLC (“Amneal”), pursuant to the Business Combination Agreement, dated October 17, 2017, by and among the Company, Holdco, K2 Merger Sub Corporation, a Delaware corporation and a wholly-owned subsidiary of Holdco, and Amneal, as amended by Amendment No. 1, dated November 21, 2017 and Amendment No. 2 dated December 16, 2017 . The Registration Statement may be accessed through the SEC’s website at www.sec.gov under the name of Holdco.
The Registration Statement has been filed with the SEC, but has not yet become effective. The securities proposed to be issued pursuant to the Registration Statement may not be sold nor may offers to buy be accepted prior to the time the Registration Statement becomes effective.
